Legal

Terms of Use.

These terms govern your use of the website at holonomy.systems, operated by Holonomy Systems Inc., a Delaware corporation ("Holonomy", "we", "us"). By using the site you agree to them. If you do not agree, please do not use the site.

Informational purpose only

This site presents information about Holonomy and its technology. It creates no advisory, partnership, agency, employment, or contractual relationship, and nothing on it is a binding offer. Anything we later agree with you will be set out in a separate written agreement signed by both parties.

No offer of securities

Nothing on this site, including the "Back us" and data-room pages, is an offer to sell or a solicitation of an offer to buy any security, nor is it investment, legal, tax, or financial advice. No securities of Holonomy have been registered under the U.S. Securities Act of 1933, as amended, or under any state securities laws. Any offering of securities will be made only to eligible investors, through definitive offering documents, in reliance on an available exemption from registration (including, where applicable, Regulation D and verification of accredited-investor status), and subject to the laws of each relevant jurisdiction. Requesting materials through this site does not entitle you to participate in any offering, and we may decline any request at our discretion.

Forward-looking statements

This site contains forward-looking statements and technical claims, including performance figures, roadmaps, timelines, and projections. Some figures are targets or projections rather than measured results, and are labelled as such where stated. Forward-looking statements involve known and unknown risks and uncertainties, and actual outcomes may differ materially. They speak only as of the date shown, and we undertake no obligation to update them.

Export control and sanctions

Technical information on this site may be subject to export-control and sanctions laws, including the U.S. Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR). You may not access, download, or use the site, or request materials through it, if you are located in, ordinarily resident in, or acting on behalf of a person or entity in a country or territory subject to comprehensive U.S. sanctions, or if you are a restricted or denied party under any applicable list. You are responsible for complying with all applicable export, re-export, and sanctions requirements. Access to non-public technical materials may be conditioned on additional screening or on a written agreement.

Intellectual property

The site's content, text, figures, diagrams, marks, and design are owned by Holonomy or its licensors and are protected by intellectual-property laws. You may view and share the site, and quote briefly with attribution. You may not otherwise copy, reproduce, modify, or redistribute the content without our written permission, except as permitted by law. Third-party names appear only with written consent or as factual reference; no endorsement is implied.

Acceptable use

Do not use the site unlawfully, attempt to gain unauthorised access to it or to any related system, probe or test its security, interfere with its operation, submit malicious or automated content through its forms, or scrape it in a way that burdens the service. We may suspend access for any of these.

Third-party links

The site links to third-party sites and services we do not control. We are not responsible for their content, availability, or practices, and a link is not an endorsement.

No warranties

The site is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the site will be error-free, secure, or uninterrupted, or that any information on it is complete, current, or accurate.

Limitation of liability

To the fullest extent permitted by law, Holonomy and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of or relating to your use of the site, on any theory of liability, even if advised of the possibility. Our total aggregate liability arising out of or relating to the site will not exceed one hundred United States dollars (US$100). Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud or fraudulent misrepresentation, death, or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

Indemnity

You agree to indemnify and hold Holonomy harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your misuse of the site or your breach of these terms or of applicable law.

Governing law and venue

These terms and any dispute arising out of or relating to them or to the site are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Holonomy submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and waive any objection to venue there. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory provisions of your local law.

General

If any provision of these terms is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. These terms are the entire agreement between you and Holonomy regarding the site, and supersede any prior understanding about it.

Changes and contact

We may update these terms. Changes take effect when posted, with the effective date updated above, and your continued use means you accept them. Questions: contact@holonomy.systems.
